Terms and Conditions
1. Definitions In these Terms and Conditions, the following definitions apply:
1.1 "Agreement" means the Contract of Work and these Terms and Conditions, together with any attached schedules, addendums, and applicable specifications.
1.2 "JVC Energy" refers to Solergy Australia Pty Ltd, trading as JVC Energy, ABN: 66679949896, ACN: 679 949 896, located at 1105/310-330 Oxford St, Bondi Junction NSW 2022.
1.3 "Client" means the individual, company, or organization engaging JVC Energy to provide the services and supply goods as outlined in the Agreement.
1.4 "Goods" refers to the equipment, components, and materials supplied by JVC Energy.
1.5 "Services" refers to the design, installation, commissioning, and maintenance services provided by JVC Energy.
2. Contract Formation
2.1 This Agreement becomes binding once the Client accepts the Quotation or Proposal provided by JVC Energy and signs the Contract of Work.
2.2 Any variations to the Agreement must be agreed upon in writing by both parties.
3. Payment Terms
3.1 Payment must be made in accordance with the terms specified in the Proposal.
3.2 The Client agrees to pay a deposit, as specified in the Proposal, prior to the commencement of the Services. Final payment must be made upon project completion and commissioning of the system unless otherwise agreed.
3.3 If payment is not received within the stipulated time, JVC Energy reserves the right to suspend work, retain ownership of the Goods, and charge interest on overdue payments at a rate of 2% per month.
4. Warranty and Liability
4.1 JVC Energy warrants that all Goods and Services provided will meet industry standards and comply with applicable laws and regulations.
4.2 JVC Energy will not be held liable for: a. Any damage caused by improper use or third-party negligence. b. Delays caused by factors beyond JVC Energy's control, such as weather, supply chain issues, or force majeure.
4.3 The Client must report any defects in writing within seven (7) days of discovering the issue.
5. Delivery and Installation
5.1 JVC Energy will take all reasonable steps to deliver and install the Goods and Services within the agreed timeline.
5.2 Any delays caused by unforeseen circumstances will be communicated promptly to the Client.
5.3 Ownership of the Goods transfers to the Client upon full payment, but the risk of damage or loss transfers upon delivery.
6. Cancellation and Termination
6.1 The Client may cancel the Agreement by providing written notice to JVC Energy within five (5) business days of signing the Contract of Work.
6.2 JVC Energy reserves the right to terminate the Agreement if the Client fails to comply with the payment terms or other critical obligations.
6.3 Cancellation or termination fees may apply, as outlined in the Proposal.
7. Confidentiality
7.1 Both parties agree to keep confidential any proprietary information shared during the course of the Agreement.
8. Governing Law
8.1 This Agreement is governed by the laws of New South Wales, Australia. Any disputes shall be resolved through mediation or in the courts of New South Wales.
